Please read the terms and conditions page thoroughly before accessing the Platform/Service. These Terms and conditions along with the Privacy Policy issued by the company and other policies constitute the contract between the Users of this Platform and Company. By using this Platform, Users agree to be bound by this Agreement as posted on the Platform from time to time.

What is Uzonn and who manages its operations?

Uzonn is an application/platform which provides an online marketplace where registered sellers(Small Businesses) can come and sell their products to registered users(buyers) of the Application. The ‘Uzonn’ Application/platform is operated by Atomxel LLP("Company"). The Company’s(“Atomxel LLP”) role is limited only in managing the Application/platform and marketing of the service, facilitating payment collections, fulfilment, order management, enquiry management and other related services to enable the transactions between the Sellers and the buyer(“sometimes resellers”).

When are these Terms applicable and binding on the User?

The Agreement is applicable to any person when they install, download or even merely visit or access any part of the Platform or utilise the Services, such persons are referred to as users, which include without limitation users who are browsers, Suppliers, Resellers, merchants, other purchaser or contributors of content (collectively, "User"). The Agreement between User and Company(“Atomxel LLP”) is effective on the date on which the Application is downloaded/platform is accessed and/or the date on which terms and conditions of Agreement are updated, hence creating a legally binding arrangement/agreement between the User of the platform and the Company.

Modification on the terms of Agreement.

Users can check/review the latest version of the Agreement at any point of time. Company(“Atomxel LLP”) reserves the right to unilaterally update, change or replace any part of the Agreement by publishing the changes directly on the Terms and Conditions page on the platform. It is the responsibility of the Users to check/review this page on a regular basis for any changes. If the user is continuing the use of the platform even after changes, this means the user agrees to the latest changes in the agreement.

What if the User does not agree with terms of the Agreement?

If the User does not agree with the terms of the Agreement, the User is advised to refrain from using the Platform. If the user continues to use the platform, it shows the user accepts the Agreement and agrees to abide by the terms of agreement(and the changes in the agreement from time to time).

ACCOUNT REGISTRATION, SUSPENSION AND TERMINATION

Company does not allow Users to avail the Services on the Platform if the user is not registered prior to the use of the platform. To access and use the Platform, User should register with us by providing the required information. User is responsible for ensuring the accuracy of the given information. User is responsible for keeping their Login password secure. We cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password. The billing information user provides us, including payment details, billing address and other payment information, is subject to the same accuracy requirements as the rest of your identifying information. Providing false or inaccurate information or using the Platform/service to further ill-usage or any unlawful activity is grounds for immediate termination of this Agreement. By posting, storing, or transmitting any content on the Platform, you hereby grant the company a perpetual, worldwide, non-exclusive, royalty-free, assignable, right and license to use, copy, display, perform, create derivative works from, distribute, have distributed, transmit and assign such content in any form, in all media now known or hereinafter created, anywhere in the world. Atomxel LLP does not have the ability to control the nature of the user-generated content offered through the Platform. User is solely responsible for their interactions with other users of the Platform and any content they post. Atomxel LLP is not liable for any damage or harm resulting from any posts by or interactions between users. Atomxel LLP reserves the right, but has no obligation, to monitor interactions between and among users of the Platform/Service and to remove any content Atomxel LLP deems objectionable, at it's sole discretion.

PLACING ORDERS AND FINANCIAL TERMS

The Application allows Users to place orders for the products listed by Sellers on Application/Platform and the Application, as per the terms of Agreement, facilitates the placement of orders for the products by the Users. On receiving an order request order from a User, Company shall send electronically a confirmation of such order to Seller and the concerned User. After that, the Company may inform the User(Buyer) about the availability or unavailability or change in price of the order as informed by Seller concerned, from time to time. Once the order is confirmed by the Seller, that shall be treated as final. The Company does not own, sell or resell any products on its own and/or does not control the Sellers and only act as the facilitator of the transaction between buyers and sellers All commercial/contractual terms of sale are offered by Sellers and agreed to between Suppliers and the Users alone. The commercial/contractual terms include without limitation, price, date, period and mode of delivery, warranties related to products, etc. Policies concerning returns/ exchanges, penalties, refunds, cancellation will get updated in the Application/platform from time to time.

USE OF THE PLATFORM

Company put in efforts to make the Application available 24X7. However, any interruption in the usage of the application due to any uncontrollable circumstances will be corrected with immediate effect. Users should acknowledge that the use of Application/platform requires internet connectivity. Company cannot assure that the Application/platform will be compatible with all hardware and software in use by Users. Application/Platform may be under constant upgrades(improvements), and some functions and features may or may not be fully operational. The Company in no circumstances represent any of User(Buyer) or Seller, and is not accountable for any error or inconsistency with respect to any information relating to such Supplier or User displayed on the Platform. User should not use the Application/Platform to display, upload, download, modify, publish, update or share any information which is: harmful, harassing, blasphemous, ethnically objectionable or racially, defamatory, obscene, pornographic, paedophilic, libellous, slanderous, criminally inciting or invasive of another’s privacy, hateful, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner. harasses or advocates harassment of another person.b

Intellectual Property and Third-Party Links

Atomxel LLP is the owner of the brand Uzonn and the Platform and has the exclusive right, title and ownership of any and all intellectual property rights arising out of it's brand and the Platform. Atomxel LLP may occasionally post links to third party websites or other services on the Platform. You agree that Atomxel LLP is not responsible or liable for any loss or damage caused as a result of your use of any third-party services linked to the Platform.

Reverse Engineering & Security

User agrees not to undertake any of the following actions: Reverse engineer, or any attempt to reverse engineer or disassemble any code or software from or on the Platform; Violate the security of the Platform through any unauthorized access, circumvention of encryption or other security tools, data mining or interference to any host, user or network; and Use the Platform for illegal spam activities, including collecting email addresses and personal information of users of the platform(buyers or sellers) or sending any mass commercial emails.

This Agreement is governed by the laws of India. Any action, suit, or other legal proceeding, which is commenced to resolve any issue arising under or relating to this Agreement or the Applicaion/Platform shall be subject to the jurisdiction of the courts at Delhi, India.
